1. Acceptance of Terms

Yield Automations LLC ("we," "our," or "us") provides AI automation services, consulting, and software solutions (the "Services"). By creating an account, purchasing a subscription, or using our Services, you ("Client" or "User") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not use our Services. These Terms apply to all users located within the United States, including residents of the State of California.

2. Description of Services

Yield Automations LLC provides AI-driven business solutions, including but not limited to:

Automated SMS and email marketing systems.

AI chatbots and conversational agents.

Customer Relationship Management (CRM) setup and management.

Workflow automation and consulting.

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services solely for your internal business purposes, subject to your payment of applicable fees.

3. Eligibility

By using our Services, you represent and warrant that:

You are at least 18 years old.

You are authorized to enter into this agreement on behalf of yourself or your business entity.

Your use of the Services will not violate any applicable laws or regulations.

4. Fees and Payment Terms

A. Subscriptions & Auto-Renewal

Our Services are billed on a recurring subscription basis (e.g., monthly). Your subscription will automatically renew at the end of each billing cycle unless you cancel strictly in accordance with these Terms. You authorize us to charge your payment method on file for the renewal term.

B. No Refunds

All payments are non-refundable. There are no refunds or credits for partially used periods. This "No Refund" policy applies regardless of your usage of the Services or the results obtained.

C. Cancellation

By Client: You may cancel your subscription at any time via your account settings or by emailing us. Cancellation will be effective at the end of the current billing cycle.

By Company: We reserve the right to suspend or terminate your service at any time, for any reason, with or without notice.

5. Intellectual Property Rights

A. Our Intellectual Property (Company IP)

Yield Automations LLC retains all ownership and intellectual property rights in:

Our branding, logos, and trademarks.

The "System": Including our proprietary workflows, AI prompt engineering, "Snapshots" (configurations), automation sequences, and custom code used to deliver the Service.

Any AI models or algorithms fine-tuned or developed by us (excluding your specific data).

License to Client: We grant you a license to use these systems while you are an active, paying subscriber. You may not copy, resell, reverse engineer, or distribute our workflows or Snapshots to third parties.

B. Client Intellectual Property (Client IP)

You retain all ownership rights in:

Your customer data (leads, contact lists).

Your specific business content (logos, images, text) provided to us.

The specific inputs you provide to the AI.

6. AI Disclaimer & Usage

A. No Guarantee of Results

You acknowledge that our Services use Artificial Intelligence. We make no guarantees regarding specific outcomes, results, revenue, lead conversion rates, or business growth. Past performance does not guarantee future results.

B. AI "Hallucinations" and Accuracy

Artificial Intelligence is experimental and may produce inaccurate, offensive, or incorrect outputs ("hallucinations"). Yield Automations LLC is not responsible for any advice, content, or communications generated by the AI. You are solely responsible for reviewing AI-generated content before it is sent to your customers.

C. Third-Party Dependence

Our Services rely on third-party platforms (e.g., OpenAI, Twilio, GoHighLevel). We are not liable for service interruptions, downtime, or policy changes caused by these third-party providers.

7. User Responsibilities & Prohibited Uses

You agree not to use our Services to:

Send unsolicited spam or violate the TCPA (Telephone Consumer Protection Act) or CAN-SPAM Act.

Promote illegal activities, hate speech, or harassment.

Attempt to reverse engineer our software or access our systems without authorization.

Compliance: You are solely responsible for ensuring your use of SMS and email marketing complies with all local and federal laws, including obtaining proper consent (opt-in) from your leads.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL YIELD AUTOMATIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

LIABILITY CAP: OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES, REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Yield Automations LLC from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) your violation of any third-party right, including intellectual property or privacy rights; or (c) any claim that your use of the AI or Services caused damage to a third party.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and defined following the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Delaware.

California Residents: If you are a California resident, you waive your rights under California Civil Code §1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release."
